Terms & Coaching Agreement

Effective: January 2026 

This Agreement (“Agreement”) is entered into by and between Hello Healer LLC and Digital Health Education LLC (“Companies,” “we,” “us,” or “our”) and the purchaser (“Participant,” “Client,” or “You”) of Confident Nurse Academy™ (“Program”).

By purchasing or participating in the Program, You agree to the following Terms:

1. Program Overview

Confident Nurse Academy™ is a professional education and coaching program for nurses designed to support confidence, competence, and professional development.

The Program may include on-demand educational content, live group coaching sessions, and optional virtual events such as Bootcamps or workshops. Program components vary by tier and may change over time.

The Program is educational in nature and does not constitute medical, legal, therapeutic, or employment advice.

2. Educational Purpose & Coaching Disclaimer

The Program is intended solely for professional education and growth.

Participation does not create a therapeutic, clinical, supervisory, employment, or professional-client relationship between You and the Companies or their representatives.

While discussions may include topics such as stress, mindset, or career development, the Program is not therapy, counseling, or medical treatment.

If participation raises personal or emotional concerns, You agree to seek support from an appropriately licensed professional outside the Program. 

All education and coaching must be applied in accordance with:

• Your state’s Nurse Practice Act

• Your professional scope of practice

• Your employer’s policies and procedures

3. Coaching Format, Scheduling & Access

Coaching is delivered in a group format unless otherwise stated.

Live coaching sessions are generally offered on a monthly basis, but session dates, times, format, duration, and availability may vary based on enrollment, instructor availability, and operational needs.

The Companies reserve the right to:

• Modify coaching schedules

• Reschedule sessions

• Change delivery format

• Substitute facilitators

• Discontinue coaching offerings with reasonable notice

No specific coaching date, time, or frequency is guaranteed.

4. Access & Duration

Program access begins upon purchase and continues for 12 months unless otherwise stated at checkout.

Access includes all materials, lessons, bonuses, and live offerings included in your purchased tier.

The Companies may update, revise, or replace Program materials at any time to maintain quality and relevance.

5. Fees, Payments & No Refunds

All payments are due in full at the time of purchase and are processed through third-party payment platforms.

All sales are final. 

No refunds, credits, or extensions will be issued for any reason.

If payment is declined, reversed, or disputed, access may be suspended or terminated until resolved.

6. Chargebacks

Chargebacks are prohibited due to the immediate delivery of digital content.

Initiating or threatening a chargeback constitutes a breach of this Agreement and may result in:

• Immediate termination of access

• Collection efforts for the outstanding balance

• Administrative fees related to dispute resolution

7. Professional Conduct

Participants are expected to behave professionally in all Program spaces.

The Companies reserve the right to remove any participant—without refund—who engages in:

• Disruptive or disrespectful conduct

• Harassment or discrimination

• Confidentiality or HIPAA violations

• Misuse of Program materials

8. Confidentiality

You agree to maintain the confidentiality of all group discussions, coaching calls, and participant interactions.

You may not record, screenshot, share, or distribute Program discussions or identifying information of other participants.

Exceptions apply only where disclosure is legally required.

9. Intellectual Property

All Program materials are the exclusive intellectual property of the Companies.

You are granted a limited, non-transferable, single-user license for personal educational use only.

Unauthorized sharing, teaching, or commercial use of Program content will result in immediate termination and potential legal action.

10. Recording of Live Sessions

Live coaching or group sessions may be recorded for internal educational or quality-improvement purposes.

Recordings will not be used to identify individual participants without express consent.

If you prefer not to appear on recordings, you may disable video or notify the facilitator.

11. Limitation of Liability

To the fullest extent permitted by law, the Companies are not liable for any personal, professional, emotional, or employment-related outcomes arising from participation in the Program.

Your sole remedy for dissatisfaction is to discontinue participation.

12. Indemnification

You agree to indemnify and hold harmless the Companies from any claims, losses, or damages arising from:

• Your participation

• Your professional practice decisions

• Misuse of Program content

13. Arbitration & Governing Law

Any dispute shall be resolved by binding arbitration in Sacramento County, California, under California law.

Class or collective proceedings are waived.

14. Force Majeure

The Companies are not liable for delays or interruptions caused by events beyond reasonable control, including platform outages, travel limitations, or emergencies.

15. Entire Agreement

This Agreement constitutes the entire understanding regarding coaching and Program participation and supersedes prior communications.
