Confident Nurse Academy™

Terms & Coaching Agreement

(Effective November 2025) 

This Agreement (“Agreement”) is entered into by and between Hello Healer LLC and Digital Health Education LLC (“Companies,” “we,” or “us”) and the purchaser (“Client” or “You”) of Confident Nurse Academy™ (“Program”).

By purchasing or participating in the Program, You agree to the following Terms and Conditions:

1. Program Overview

The Companies provide access to the Confident Nurse Academy™—a professional education and coaching program for nurses designed to build confidence, competence, and resilience in practice.

CNA includes a combination of on-demand educational content, live group coaching sessions, and optional virtual events such as Bootcamps or workshops.

This Program is educational in nature and is not medical, legal, or therapeutic advice.

2. Educational Purpose & Coaching Disclaimer

Confident Nurse Academy™ is intended for professional and educational development. Participation does not create a therapeutic, clinical, or supervisory relationship between You and the Companies or their representatives.

While topics may include stress management, mindset, or career growth, the Program is not therapy, counseling, or medical treatment. 

If participation brings up emotional distress, You agree to seek support from a licensed professional.

All education and coaching within CNA must always be applied in accordance with:

• Your state’s Nurse Practice Act 

• Your facility’s policies and procedures 

• Your professional scope of practice

3. Access & Duration

Access begins upon purchase and continues for 12 months unless otherwise stated.

You will receive access to all lessons, bonuses, and any scheduled live events included in your tier (Solo, Squad, or Bootcamp).

The Companies reserve the right to update or improve Program materials at any time to maintain quality and relevance.

4. Fees & Payments

All payments are due in full at the time of purchase.

Payment processing occurs securely through Kajabi Payments.

No refunds will be issued under any circumstances.

You acknowledge that all purchases are final and that access is granted immediately upon payment.

If your payment method is declined or reversed (including through chargeback), access will be immediately revoked until resolved.

5. Chargeback Policy

Because access is delivered immediately and all materials are digital, chargebacks are strictly prohibited. 

Filing or threatening a chargeback constitutes a breach of these Terms and may result in:

• Permanent account termination

• Reporting to relevant credit or chargeback databases

• Referral to collections for the full balance owed

6. No Refunds

All sales are final.

You acknowledge that you have reviewed all Program details prior to purchase and understand the results depend on your participation, effort, and workplace environment.

7. Professional Conduct & Termination

This Program is a professional learning community. By participating, You agree to:

• Treat instructors and peers with respect.

• Refrain from harassment, discrimination, or unprofessional behavior.

• Maintain confidentiality and adhere to HIPAA regulations.

The Companies reserve the right to terminate your access—without refund—if you:

• Engage in disruptive, harassing, or inappropriate conduct.

• Violate community rules or confidentiality policies.

• Use CNA content in a manner inconsistent with these Terms.

8. Confidentiality & Community Guidelines

You agree to maintain confidentiality regarding group discussions, coaching calls, and peer interactions.

You may not share screenshots, recordings, or identifying details about other participants.

Exceptions to confidentiality include:

• Threats of harm to self or others

• Illegal activity

• Subpoena or lawful court order

By participating in CNA, you also agree to follow all applicable HIPAA and privacy laws when sharing patient or workplace scenarios.

9. Intellectual Property

All materials, frameworks, videos, PDFs, lessons, and tools in Confident Nurse Academy™ are the intellectual property of Hello Healer LLC and Digital Health Education LLC.

You are granted a single-user, non-transferable license for personal educational use only.

You may not duplicate, share, sell, or distribute any content without written permission.

Violating these intellectual property rights will result in immediate termination of access and potential legal action.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Companies, their officers, directors, employees, affiliates, contractors, and successors from and against any and all liabilities, damages, losses, or expenses (including attorney fees) arising out of:

• Your participation in the Program,

• Any misuse of Program materials, or

• Any violation of these Terms.

This includes personal or professional consequences resulting from your use of educational content or coaching discussions.

11. Limitation of Liability

You understand that CNA is educational and results are not guaranteed.

You agree that the Companies are not liable for any:

• Direct, indirect, or consequential damages,

• Emotional or professional distress, or

• Employment-related outcomes.

Your sole remedy for dissatisfaction with the Program is to discontinue participation.

12. Arbitration & Venue

Any dispute arising under or relating to this Agreement shall be resolved by binding arbitration in Sacramento County, California.

You waive the right to class arbitration and agree to cover your own costs associated with any such proceedings.

13. Conduct During Live Coaching or Bootcamp

During live sessions, participants agree to maintain professionalism.

The Companies reserve the right to mute, remove, or revoke access to anyone who disrupts the learning environment or behaves disrespectfully.

No refunds will be issued in such cases.

14. Acknowledgment of Risk

You acknowledge that CNA may involve reflection, stress management discussions, and role-based learning.

You are solely responsible for your participation and application of material in alignment with your professional standards and workplace policies.

15. Confidential Submissions & Recordings

By participating, you consent to being recorded during live group sessions and understand that your likeness or voice may appear in training or marketing materials only in anonymized or aggregated form.

16. Entire Agreement

This Agreement constitutes the entire understanding between You and the Companies regarding Confident Nurse Academy™ and supersedes all prior agreements.

No verbal or other modifications are valid unless signed in writing by both parties.

17. Severability & Waiver

If any provision of this Agreement is found invalid, the remaining terms remain enforceable.

Failure to enforce any part of this Agreement shall not be considered a waiver of any rights.

18. Force Majeure

The Companies shall not be liable for delays or non-performance caused by events beyond reasonable control, including natural disasters, pandemics, or platform outages.
