Agreement Overview

These Terms and Conditions (“Agreement”) are entered into by and between You (“Client” or “Participant”) and Digital Health Education LLC and Hello Healer LLC (collectively, “Companies,” “we,” or “us”).

By enrolling in Confident Nurse Academy™ (“Program”), you agree to be bound by this Agreement as well as the Companies’ Terms of Use, Privacy Policy, and Disclaimer, which are incorporated herein by reference. In the event of a conflict, this Agreement governs.

Program Description

The Companies agree to provide access to Confident Nurse Academy™, a digital, continuing-education nurse residency and professional development program that may include recorded modules, downloadable materials, group coaching, and/or live virtual events.

Confident Nurse Academy™ is approved by the California Board of Registered Nursing (Provider No. CEP18110). Completion of CE-eligible modules may satisfy continuing-education requirements where accepted. It is the participant’s responsibility to verify applicability with their state board or employer.

Nature of the Relationship

Participation in the Program does not create an employment, agency, supervision, or professional-client relationship. The Program provides education and information only; nothing contained within shall be construed as medical, legal, or professional advice.

Payment & Refund Policy

All sales are final given the digital and intellectual-property nature of the Program. By purchasing, you acknowledge that you have read the course description and understand what is included. No refunds or credits will be issued for any reason, including partial participation, lack of use, or changes in professional circumstances.

No Chargebacks

You agree not to initiate chargebacks or payment disputes. Access will be suspended during any dispute. Any chargeback reversed in the Companies’ favor will incur a $250 administrative fee to recover processing costs.

Program Term & Access

You will receive 12 months of access from the date of purchase. Extensions or renewals, if offered, are at the Companies’ discretion.

Bonuses & Live Events

Bonuses or live events offered at purchase are included only for participants who enrolled during that promotion. Live event access does not include replay recordings unless explicitly stated.

Community Conduct & Coaching Boundaries

Professional conduct is expected in all spaces, including the WhatsApp Community, coaching calls, and live Bootcamp events. The Companies reserve the right to remove any participant for disruptive, disrespectful, or unethical behavior without refund.

Group coaching and mentorship sessions are intended for educational support and professional growth only. They do not replace counseling, clinical supervision, or employer training. You remain responsible for your professional practice and compliance with your Nurse Practice Act and facility policies.

Intellectual Property

All Program content—including text, videos, graphics, presentations, and worksheets—is the exclusive property of the Companies and is protected by copyright, trademark, and intellectual-property law.

You receive a non-exclusive, non-transferable, revocable license for individual professional use only. You may not reproduce, share, teach, sell, or distribute any Program materials for commercial or institutional use without written permission.

Unauthorized distribution—including teaching CNA content in hospital orientations or residency programs without licensing—constitutes intellectual-property infringement and will result in immediate termination of access without refund.

Confidentiality

You agree to maintain confidentiality within the Program, to follow HIPAA guidelines, and to respect the privacy of other participants. Any violation of confidentiality or sharing of proprietary materials outside the Program will result in immediate removal without refund.

Personal Responsibility

You acknowledge that your results depend on your own effort, actions, and professional environment. The Companies provide educational tools and guidance but make no guarantees of outcomes. You agree to use judgment and remain within your professional scope of practice.

Submissions & Testimonials

By submitting comments, recordings, or feedback within the Program, you grant the Companies a perpetual, royalty-free license to use anonymized excerpts for educational or marketing purposes. You may revoke this consent at any time by written notice.

No Warranties

The Companies make no warranties, express or implied, regarding Program performance, results, or technology. The Program is provided “as is” for educational purposes only.

Limitation of Liability

You agree to absolve and hold harmless the Companies, their officers, and employees from any loss, injury, or damages—direct, indirect, incidental, or consequential—arising from your use or misuse of the Program. Your sole remedy for dissatisfaction is to discontinue participation.

Arbitration & Governing Law

All disputes arising out of this Agreement shall be resolved exclusively by binding arbitration in Sacramento County, California, pursuant to the laws of the State of California. Class or collective arbitration is not permitted. Each party shall bear its own costs and fees unless otherwise determined by the arbitrator.

Indemnification

You agree to indemnify and hold harmless the Companies and their affiliates from any claims, liabilities, damages, or expenses (including attorneys’ fees) arising from your participation in or misuse of the Program.

Force Majeure

The Companies are not liable for delays or failures caused by events beyond their control, including but not limited to natural disasters, pandemics, governmental actions, or power outages.

Entire Agreement & Severability

Entire Agreement This Agreement, together with the Companies’ Terms of Use, Privacy Policy, Disclaimer, and Group Coaching Terms, constitutes the entire understanding between you and the Companies. It supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and the Companies with respect to the Program.
