Agreement Overview

These Terms and Conditions (“Agreement”) are entered into by and between you (“Participant” or “Client”) and Digital Health Education LLC and Hello Healer LLC (collectively, the “Companies,” “we,” “us,” or “our”).

By enrolling in Confident Nurse Academy™ (“Program”), you agree to be bound by this Agreement, as well as the Companies’ Terms of Use, Privacy Policy, Disclaimer, and Accessibility Statement, all of which are incorporated herein by reference. In the event of any conflict, this Agreement governs.

Program Description

The Companies agree to provide access to Confident Nurse Academy™, a digital continuing-education nurse residency and professional development program. The Program may include recorded educational modules, downloadable materials, group coaching sessions, and/or live virtual events.

Confident Nurse Academy™ is approved by the California Board of Registered Nursing (Provider No. CEP18110). Completion of CE-eligible modules may satisfy continuing-education requirements where accepted. It is the Participant’s responsibility to confirm acceptance with their state board of nursing or employer.

Nature of the Relationship

Participation in the Program does not create an employment relationship, supervisory relationship, agency relationship, or professional-client relationship.

The Program provides educational and informational content only. Nothing contained within the Program constitutes medical advice, clinical guidance, legal advice, or professional decision-making authority.

Payment & Refund Policy

Due to the digital and intellectual-property nature of the Program, all sales are final.

No refunds, credits, or partial refunds will be issued for any reason, including but not limited to partial participation, non-use, schedule conflicts, or changes in employment, licensure, or professional circumstances.

No Chargebacks

You agree not to initiate chargebacks or payment disputes. Access to the Program may be suspended during any payment dispute.

Any chargeback that is reversed in the Companies’ favor may incur a reasonable administrative fee (currently $250) to recover processing, dispute-handling, and administrative costs.

If you have questions or concerns regarding payment, please contact [email protected] prior to initiating a dispute so we may attempt resolution.

Program Term & Access

Participants receive twelve (12) months of access to the Program from the date of purchase.

Extensions, renewals, or continued access beyond this period may be offered at the Companies’ sole discretion and are not guaranteed.

Bonuses & Live Events

Bonuses or live events are included only for Participants who enrolled during the applicable promotional period. Access to live events does not include replay recordings unless explicitly stated in writing.

Community Conduct & Coaching Boundaries

Professional, respectful conduct is required in all Program spaces, including community forums, WhatsApp groups, coaching calls, and live events.

The Companies reserve the right to remove any Participant for disruptive, unethical, disrespectful, or inappropriate behavior, without refund.

Group coaching and mentorship sessions are provided for educational and professional development support only and do not replace counseling, therapy, clinical supervision, or employer-based training. Participants remain solely responsible for compliance with their Nurse Practice Act, employer policies, and professional standards.

Intellectual Property

All Program content—including videos, text, graphics, presentations, worksheets, and educational frameworks—is the exclusive intellectual property of the Companies and is protected by copyright, trademark, and intellectual-property laws.

Participants are granted a non-exclusive, non-transferable, revocable license for individual professional use only.

Participants may not reproduce, share, distribute, teach, sell, sublicense, or use Program materials for institutional or commercial purposes—including hospital orientations, residency programs, or staff education—without written permission.

Unauthorized use constitutes intellectual-property infringement and will result in immediate termination of access without refund.

Confidentiality

Participants agree to maintain the confidentiality of Program discussions and materials and to respect the privacy of other Participants.

Participants agree not to share any patient-identifying information or protected health information within Program spaces. Any violation of confidentiality or misuse of Program materials will result in immediate removal without refund.

Personal Responsibility

Participants acknowledge that results depend on individual effort, professional judgment, and workplace context. The Companies make no guarantees regarding outcomes, career advancement, or professional performance.

Participants agree to remain within their professional scope of practice and to apply Program content responsibly.

Submissions & Testimonials

By submitting comments, feedback, recordings, or testimonials within the Program, Participants grant the Companies a perpetual, royalty-free license to use anonymized excerpts for educational or marketing purposes.

Participants may revoke testimonial consent at any time by written notice.

No Warranties

The Program is provided “as is” and “as available.” The Companies disclaim all express or implied warranties regarding Program performance, outcomes, technology availability, or uninterrupted access.

Limitation of Liability

To the fullest extent permitted by law, Participants agree to hold harmless the Companies, their officers, contractors, and affiliates from any direct, indirect, incidental, or consequential damages arising from participation in or use of the Program.

In no event shall the Companies’ total liability exceed the amount paid by the Participant for the Program.

Arbitration & Governing Law

Any dispute arising out of or relating to this Agreement shall be resolved exclusively by binding arbitration in Sacramento County, California, in accordance with California law.

Class or collective arbitration is not permitted. Each party shall bear its own fees and costs unless otherwise determined by the arbitrator.

This arbitration provision applies to the fullest extent permitted by law and does not waive rights that cannot legally be waived under applicable consumer-protection statutes.

Indemnification

Participants agree to indemnify and hold harmless the Companies from any claims, damages, liabilities, or expenses (including attorneys’ fees) arising from misuse of the Program, violation of this Agreement, or professional actions taken outside the scope of the Program.

Force Majeure

The Companies are not liable for delays or failures caused by events beyond their reasonable control, including natural disasters, pandemics, governmental actions, technology outages, or acts of God.

Entire Agreement & Severability

This Agreement, together with the Companies’ Terms of Use, Privacy Policy, Disclaimer, and Accessibility Statement, constitutes the entire agreement between the Parties and supersedes all prior communications.

If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
