Purchase and Participation Terms

Live Online Workshop: November 7–8, 2026, from 9:00 a.m.–5:00 p.m. Pacific
Price: $997 per nurse
Access: Each seat includes 12 months of Confident Nurse Academy access.
These Purchase and Participation Terms (“Workshop Terms”) govern the purchase of seats in the Fall Virtual Clinical Readiness Workshop and the related use of Confident Nurse Academy™. By completing checkout and affirmatively accepting these Workshop Terms, the purchaser agrees to be legally bound by them.
The Workshop is provided collaboratively by Hello Healer LLC, a California limited liability company and California Board of Registered Nursing continuing-education provider (Provider No. CEP18110), and Digital Health Education LLC under the Confident Nurse Academy brand. They are referred to collectively in these Workshop Terms as “Confident Nurse Academy” or the “Providers” and individually as a “Provider.” Digital Health Education LLC currently processes checkout payments.
1. Purchaser and Participant Authority
The individual or organization completing checkout is the “Purchaser.” Each nurse assigned to a purchased seat is a “Participant.”
The Purchaser represents that the information supplied at checkout is accurate and, when purchasing for an organization, that the person completing checkout has authority to make the purchase and accept these Workshop Terms for that organization.
The Purchaser may designate only the number of Participants corresponding to the number of seats purchased. Each Participant must use an individual account and must separately accept the Confident Nurse Academy Participant Acknowledgment before receiving access to the Workshop or Confident Nurse Academy.
2. What Each Seat Includes
Each purchased seat includes:

Admission for one Participant to the live online Clinical Readiness Workshop on November 7–8, 2026, from 9:00 a.m.–5:00 p.m. Pacific each day, subject to the published agenda and scheduled breaks.

Twelve months of individual, on-demand access to Confident Nurse Academy beginning when the Participant’s account is activated.

A Workshop workbook, delivered in print when registration information is received by the stated deadline and shipping permits, or digitally when applicable.

Access to the Clinical Readiness Baseline Assessment and other learning activities identified for the Workshop.
-
Eligibility to earn continuing-education contact hours after satisfying every applicable completion requirement.
The live Workshop will not be recorded, and no replay of the live event will be provided. Participants may review related on-demand lessons during their Confident Nurse Academy access period.
3. Roster, Individual Enrollment, and Seat Assignment
The Purchaser must provide each Participant’s full name and individual email address through the designated participant-roster process.
After Confident Nurse Academy receives the participant roster, Confident Nurse Academy will send each Participant an individual enrollment link. Each Participant must use that link to complete enrollment, accept the Participant Acknowledgment, and create an individual Confident Nurse Academy account.
Enrollment links are single-use and may not be transferred, forwarded, or shared with anyone other than the Participant for whom the seat was designated.
Participant enrollment should be completed by October 31, 2026, to support account setup and printed-workbook delivery. Participants who complete enrollment after that date may receive a digital workbook, and Confident Nurse Academy does not guarantee delivery of printed materials before the Workshop.
A seat may be reassigned before the original Participant completes enrollment, activates a Confident Nurse Academy account, or creates a personalized continuing-education record. After account activation or creation of a personalized continuing-education record, the seat is nontransferable unless Confident Nurse Academy agrees otherwise in writing.
4. Individual Accounts and Technology
Accounts, login credentials, Workshop links, enrollment links, assessments, and continuing-education records are issued to individual Participants and may not be shared.
The Purchaser and each Participant are responsible for suitable internet access, compatible hardware and software, functional audio, and a learning environment appropriate for participation.
Confident Nurse Academy is not responsible for a Participant’s inability to attend or complete requirements because of local connectivity, equipment, workplace scheduling, or other circumstances outside the reasonable control of Confident Nurse Academy.
5. Continuing-Education Credit
Continuing-education credit is issued by Hello Healer LLC, California Board of Registered Nursing Provider No. CEP18110.
The number of contact hours ultimately available will reflect eligible instructional time and will exclude meals and breaks.
To receive continuing-education credit, a Participant must satisfy all stated requirements, which may include:

Attendance verification.

Completion of the Clinical Readiness Baseline Assessment.

Completion of required learning activities.
-
Submission of the post-Workshop evaluation.
Partial attendance or incomplete requirements may reduce or eliminate eligibility for credit.
Each Participant is responsible for confirming that the credit is accepted by the Participant’s licensing jurisdiction and for avoiding duplicate credit when repeating materially identical content.
6. Educational Purpose and Clinical Responsibility
The Workshop, Confident Nurse Academy, assessments, workbooks, and related materials are provided solely for continuing education and professional development.
They do not constitute patient-specific medical advice and do not replace professional judgment, employer training, clinical orientation, supervision, competency validation, a Nurse Practice Act, or facility policies and procedures.
Each Participant remains solely responsible for:

Evaluating the complete circumstances of every patient.
-
Practicing within the Participant’s education, licensure, competence, and authorized scope of practice.

Verifying information against current authoritative sources and facility requirements.
-
Obtaining appropriate supervision.
-
Communicating and escalating concerns through the applicable chain of command.

Following employer policies, procedures, documentation requirements, equipment instructions, formularies, and clinical protocols.
The Purchaser remains responsible for staffing, assignments, supervision, competency determinations, privileges, employment decisions, and workplace policies.
Clinical evidence, professional standards, regulations, product information, and facility practices change over time. Confident Nurse Academy does not warrant that every item of content will remain complete or appropriate for every jurisdiction, organization, Participant, patient, or clinical circumstance.
7. No Guarantee of Clinical or Organizational Outcomes
Confident Nurse Academy does not guarantee that participation will produce any specific clinical outcome, competency determination, employment result, retention result, financial result, patient outcome, accreditation result, quality score, or regulatory result.
Assessments are educational tools and are not validated employment tests, credentialing examinations, or independent certifications of clinical competence.
8. Intellectual Property and Acceptable Use
All Workshop and Confident Nurse Academy content—including curricula, frameworks, assessments, questions, answer explanations, recordings, slides, workbooks, handouts, graphics, trademarks, and other materials—is owned by or licensed to the Providers and is protected by intellectual-property law.
Each Participant receives a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to use the purchased materials solely for that Participant’s individual, noncommercial professional development during the applicable access period.
Without prior written permission from Confident Nurse Academy, the Purchaser and Participants may not:

Record, reproduce, copy, photograph, screen-capture, download, distribute, publish, sell, sublicense, or publicly display protected content, except for downloads Confident Nurse Academy expressly makes available for individual use.

Share accounts, login credentials, enrollment links, Workshop links, assessments, answers, workbooks, or other materials.

Use Confident Nurse Academy materials to teach, train, orient, remediate, or credential other people or to create an internal institutional course or resource.
-
Modify, translate, reverse engineer, create derivative works from, or remove proprietary notices from Confident Nurse Academy materials.
-
Upload, submit, or expose Confident Nurse Academy content to any generative artificial-intelligence system, large-language model, dataset, automated training system, public repository, or similar third-party tool.
Unauthorized use may result in immediate suspension or termination of access without refund and may subject the responsible party to available legal remedies.
9. Privacy and Patient Information
Confident Nurse Academy may collect and use purchaser and participant information as reasonably necessary to administer payment, registration, account access, learning activities, continuing-education records, support, and communications, subject to the Confident Nurse Academy Privacy Policy.
Kajabi and other service providers may process information on behalf of Confident Nurse Academy under their own applicable terms and policies.
The Workshop and Confident Nurse Academy are not designed to receive or maintain protected health information.
Purchasers and Participants must not disclose, upload, display, transmit, or discuss information that identifies or could reasonably identify a patient. These Workshop Terms do not create a business associate agreement.
10. Payment, Refunds, Substitutions, and No-Shows
Payment is due at checkout. Except as expressly stated below, all sales are final.
Failure to attend, scheduling conflicts, incomplete participation, failure to complete continuing-education requirements, local technology problems, or failure to submit Participant information by the deadline does not entitle the Purchaser or Participant to a refund.
An eligible Participant substitution may be requested as described in Section 3.
If Confident Nurse Academy cancels the live Workshop and does not provide a reasonable replacement date, Confident Nurse Academy may, at its option and as appropriate to the undelivered portion, provide:

A replacement program.

Account credit.
-
A refund attributable to the canceled live component.
Confident Nurse Academy access or other components already delivered are not automatically refundable.
11. Schedule Changes and Events Beyond the Control of Confident Nurse Academy
Confident Nurse Academy may make reasonable changes to instructors, agenda order, instructional methods, or timing without materially reducing the Workshop’s overall educational purpose.
Confident Nurse Academy is not liable for delay, interruption, or failure caused by circumstances beyond its reasonable control, including severe weather, natural disaster, public-health emergency, widespread internet or platform outage, utility failure, government action, labor disruption, illness, or another force-majeure event.
Confident Nurse Academy will use reasonable efforts to communicate material changes and provide an appropriate alternative when practicable.
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WORKSHOP, CONFIDENT NURSE ACADEMY, ASSESSMENTS, MATERIALS, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
THE PROVIDERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND UNINTERRUPTED AVAILABILITY.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PROVIDER WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST REVENUE OR PROFITS; LOSS OF DATA; BUSINESS INTERRUPTION; EMPLOYMENT OR STAFFING DECISIONS; OR CLAIMS ARISING FROM PATIENT CARE OR A PARTICIPANT’S APPLICATION OR MISAPPLICATION OF EDUCATIONAL CONTENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PROVIDER’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE PURCHASE, WORKSHOP, CONFIDENT NURSE ACADEMY, OR THESE WORKSHOP TERMS WILL NOT EXCEED THE AMOUNT OF FEES ACTUALLY PAID FOR THE PARTICULAR SEAT OR SEATS GIVING RISE TO THE CLAIM.
THE PROVIDERS’ OBLIGATIONS AND LIABILITIES ARE SEVERAL AND NOT JOINT, AND NEITHER PROVIDER IS LIABLE FOR THE INDEPENDENT ACTS OR OMISSIONS OF THE OTHER.
Nothing in these Workshop Terms excludes liability that cannot lawfully be excluded or limited.
14. Indemnification
To the maximum extent permitted by law, the Purchaser will defend, indemnify, and hold harmless the Providers and their owners, officers, employees, contractors, and instructors from third-party claims, damages, liabilities, judgments, and reasonable costs arising from:

The Purchaser’s or a Participant’s breach of these Workshop Terms.

Unauthorized use, copying, disclosure, or distribution of Confident Nurse Academy intellectual property.
-
Disclosure of patient-identifying information.
-
The Purchaser’s staffing, supervision, credentialing, competency, employment, or facility decisions.
-
Clinical decisions or acts or omissions of the Purchaser or Participants.
This obligation does not apply to the extent a final determination establishes that the claim resulted from the applicable Provider’s gross negligence or willful misconduct.
15. Suspension and Termination
Confident Nurse Academy may suspend or terminate Workshop or Confident Nurse Academy access for:

Nonpayment.
-
Account sharing.
-
Intellectual-property misuse.
-
Unsafe or disruptive conduct.
-
Harassment.
-
Unauthorized recording.
-
Disclosure of patient information.
-
Another material breach of these Workshop Terms.
When reasonably practicable, Confident Nurse Academy may provide notice and an opportunity to correct a curable breach. Termination for breach does not require a refund.
16. Governing Law and Dispute Resolution
These Workshop Terms are governed by California law, without regard to conflict-of-law principles.
Before commencing formal proceedings, the parties will attempt in good faith to resolve a dispute through written notice and informal discussion.
Any unresolved dispute will be resolved by confidential, binding arbitration administered by JAMS under its applicable rules in California, unless the parties agree to remote proceedings or another location.
Claims must be brought individually and not as part of a class, collective, consolidated, or representative action.
Either party may seek temporary or injunctive relief in a court of competent jurisdiction to protect confidential information or intellectual property.
Nothing in this Section prevents a party from bringing an eligible matter in small-claims court.
17. Electronic Acceptance and Records
The Purchaser agrees that checking the acceptance box and completing checkout constitutes the Purchaser’s electronic signature and acceptance of these Workshop Terms.
Electronic records, transaction records, and copies of the version accepted may be retained as evidence of the transaction.
Each Participant must separately complete the Confident Nurse Academy Participant Acknowledgment through the Participant’s individual enrollment checkout before account activation.
18. Additional Policies and Order of Priority

If these Workshop Terms conflict with a generally applicable Confident Nurse Academy website policy, these Workshop Terms control for this purchase.
A separately signed written agreement expressly covering the same purchase will control over these Workshop Terms to the extent of a direct conflict.
19. General Provisions
These Workshop Terms and the policies incorporated above constitute the entire agreement governing this online purchase unless replaced or supplemented by a separately signed written agreement.
The Purchaser may not assign the purchase or these Workshop Terms without written consent from Confident Nurse Academy, except for permitted Participant designations.
Confident Nurse Academy may use service providers to perform administrative, technology, payment, shipping, and educational-support functions.
If any provision is found unenforceable, it will be enforced to the greatest extent permitted, and the remaining provisions will remain effective.
A waiver must be in writing and applies only to the specific instance stated.
Headings are provided for convenience and do not alter the meaning of these Workshop Terms.
